Terms of Service

1. Acceptance of Terms
By accessing or using the Meira platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Meira Health Technologies, Inc. ("Meira," "we," "us," or "our") reserves the right to modify these Terms at any time.
2. Description of Service
Meira provides a workforce management platform connecting Organ Procurement Organizations ("OPOs") with traveling medical professionals, including Organ Recovery Coordinators (ORCs), Family Coordinators (FCs), and other healthcare specialists ("Travelers"). Our platform facilitates shift scheduling, credential management, invoicing, and payment processing.
3. User Accounts
3.1 Registration. To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Types. Different account types (Traveler, OPO Manager, Administrator) have different capabilities and responsibilities. You agree to use your account only for its intended purpose.
4. Traveler Terms
4.1 Independent Contractor Status. Travelers using the platform are independent contractors, not employees of Meira or the OPOs. You are responsible for your own taxes, insurance, and compliance with applicable laws.
4.2 Credentials. You must maintain all required certifications, licenses, and credentials necessary to perform the services. You authorize Meira to verify your credentials with issuing authorities.
4.3 Payment Authorization. By accepting the Agent of Payee authorization, you authorize Meira to receive payments from OPOs on your behalf and disburse them according to your selected payment schedule.
5. OPO Terms
5.1 Procurement Logistics & Coordination Fee. OPOs agree to pay a 7% logistics and coordination fee on all transactions facilitated through the platform. This fee covers platform access, credential verification, payment processing, and customer support.
5.2 Payment Terms. Consolidated statements are due within 30 days of issuance. A 2% early payment discount is available for payments made within 11 days of the statement date.
5.3 Direct Relationship. OPOs contract directly with Travelers for services. Meira facilitates the relationship but is not a party to the service agreement between OPOs and Travelers.
6. Fees and Payment
6.1 Procurement Logistics & Coordination Fee. 7% of Gross Merchandise Value (GMV), charged to OPOs.
6.2 Early Payment Options. Travelers may choose accelerated payment schedules with associated fees: Instant (2.75%), 5-Day (1.75%), or opt for a 1% bonus by waiting until Day 30.
6.3 Withdrawal Fee. A 1% fee applies to all wallet withdrawals to external bank accounts.
7. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Meira Health Technologies, Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
8. Limitation of Liability
In no event shall Meira, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
9. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Service will be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware. You agree to waive any right to a jury trial or to participate in a class action.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
